Terms and Conditions – Global Thinking AI

1. Introduction & Scope

Welcome to Global Thinking AI. These Terms and Conditions govern your use of our website, the GlobalThinkingApp software platform, and our AI-driven automation services. We support Small and Medium Enterprises (SMEs) in the Tourism, Wellness, and Automotive sectors by providing marketing automation, AI communication tools, and workflow optimisation.

By accessing our website or engaging our services, you explicitly agree to these terms. Additionally, if you sign a separate Service Agreement or Statement of Work (SOW), those specific terms will take precedence in case of any conflict.

2. The “AI Advantage” & Service Transparency

We leverage a world-class technology stack to provide cutting-edge solutions.

  • Understanding AI Outputs: AI-generated content—whether text, voice, or video—is probabilistic. While we aim for accuracy, occasional inaccuracies or “hallucinations” may occur. Global Thinking AI does not warrant the factual accuracy of AI-generated output.
  • Mandatory Human Review: We require a “Human-in-the-Loop” approach. You are solely responsible for reviewing and verifying AI outputs before publishing or relying on them, especially regarding Wellness or Automotive compliance.
  • No Professional Advice: Our AI tools provide business automation and marketing support. They do not replace legal, financial, or medical advice.

3. Third-Party Platforms & Sub-Processors

Our services depend on a suite of third-party providers for hosting, AI reasoning, and automation routing.

  • Infrastructure: Our platform is a white-label service of HighLevel, Inc. and relies on their uptime and security protocols.

  • Service Interruption: Global Thinking AI cannot accept liability for temporary outages caused by these providers, API changes, or general internet disruptions.

4. Intellectual Property & Ownership (The “Lease” Model)

  • Infrastructure & Blueprints: You acknowledge that the GlobalThinkingApp, its underlying infrastructure (powered by HighLevel, Inc.), and all proprietary workflows, automation logic, “Blueprints,” and custom-engineered prompts developed by Global Thinking AI are our exclusive intellectual property.
  • The “License” to Use: Your subscription grants you a non-transferable, revocable license to use these tools for your business operations. You are leasing our IP; you are not purchasing the underlying automation logic or software code.
  • Client Data Ownership: You remain the sole owner of all Client Data (your customer lists, lead information, and original brand assets).
  • Rights Upon Termination: Upon cancellation or termination of service, you have the right to export your Client Data (contacts and leads). However, you do not have the right to take, copy, or transfer our proprietary workflows, funnels, or automation logic. These remain the property of Global Thinking AI and will be deactivated at the end of your billing cycle.

5. Responsible Use & Ethics

You agree not to use Global Thinking AI tools to:

  • Create “deepfake” content intended to deceive or harm.
  • Automate spam or unsolicited communications, in violation of New Zealand’s Unsolicited Electronic Messages Act 2007 or the Australian Spam Act 2003.
  • Process highly sensitive medical or financial data without prior written consent.
  • Reverse-engineer or attempt to duplicate our proprietary automation blueprints.

6. Payment, Fees & Global Billing

  • Global Payments: We operate worldwide and accept payments via Stripe, PayPal, and Wise.
  • Direct Billing: For custom consulting or high-tier plans, we may provide Direct Invoicing. Payment terms for invoices are strictly 7 days from the date of issue.
  • Currency: Unless otherwise agreed in writing, fees are billed in USD. We reserve the right to bill in local currencies (AUD, USD, EUR, GBP, NZD etc.) based on your location.
  • Non-Payment & Suspension: In the event of failed payments or unpaid invoices, access to the GlobalThinkingApp and all AI automations will be suspended after [e.g., 7 days]. We are not liable for business loss resulting from suspension due to non-payment.

7. Limitation of Liability

To the fullest extent permitted by New Zealand and Australian law, Global Thinking AI’s total liability for any claim, including those arising from AI “hallucinations” or third-party platform outages, is limited to:

  1. The total amount you paid for the service in the month preceding the claim, or
  2. USD $250, whichever is greater. Global Thinking AI shall not be liable for any indirect loss of profits, data, or business reputation.

8. Privacy & Data Handling

Your privacy is protected under our Privacy Policy. We use encrypted integrations to move and store data safely and comply with the New Zealand Privacy Act 2020 and Australian Privacy Principles.

9. Governing Law

These Terms and Conditions are governed by New Zealand law. Any disputes arising from our services will be resolved in the courts of New Zealand.
